  Crisis Management Committee Mandate
  
 

A Crisis Management Committee is established with the primary mandate to prepare for the Office of the Chairman (“OOC”) a Crisis Management Plan that ensures coordinated action in order to minimize danger to life, health and property from a crisis caused by human activity or natural disaster.

Additionally, the Committee will act as an active, coordinating, advisory body to the OOC should a crisis require implementation of the plan.

A crisis, caused by human activity or natural disaster, is defined as a situation likely to endanger people, product, or property, significant negative impact to public image, or result in the release of proprietary information and/or as deemed by the Chairman of the Crisis Management Committee.

Each Principal Operating Subsidiary is to maintain Emergency Response Plans as well as Disaster Recovery plans for all major aspects of our businesses.

Principal Operating Subsidiaries are required to directly notify the President and CEO, or OOC delegate, Director Corporate Security, and Manager Corporate Communications, of all crisis situations in a timely manner.

Committee Composition

  1. The Committee Chairman and members will be Senior Officers or Directors of ATCO Ltd., appointed by the President and CEO and approved annually by the Board of Directors. It will be composed of representatives of Finance, Administration, Security and Human Resources, with access to resources from Insurance, Audit, Information Technology, Corporate Communications and Legal.
  2. The members will be appointed or re-appointed annually by the Board of Directors and will continue to serve until a successor is named unless the member resigns or is removed by the Board. The Chairman may fill a vacancy at any time.
  3. The Committee will annually receive a report from the Director, Corporate Security confirming the Emergency Response Plans and Disaster Recovery Plans of all operating companies have been reviewed to ensure compatibility and ease-of-co-ordination with the ATCO Ltd. plan and with the OOC during a crisis.
  4. The Committee Chairman is responsible for ensuring the Crisis Management Plan is functional and provides a quality framework for orderly, prioritized actions and decisions to minimize loss.
  5. If the Chairman is not present at any meeting, an alternate Chairman shall be appointed to act in his/her place.
